Terms of Service for Needle Gem

1. Agreement to Terms

Welcome to Needle Gem! These Terms of Service (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Ahardane Amine (operating as “Needle Gem”, “we,” “us,” or “our”), a sole proprietorship (ditta individuale) registered in Italy with VAT number IT01281140572 and registered office at Via Duca Roberto 114, 02015 Cittaducale (RI), Italy, concerning your access to and use of the www.needle-gem.eu website as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Service”).

By creating an account or using the Service, you agree that you have read, understood, and agree to be bound by all of these Terms of Service. If you do not agree with all of these Terms, then you are expressly prohibited from using the Service and you must discontinue use immediately.

Your use of the Service is also subject to our Privacy Policy, Cookie Policy, and Refund Policy. By using the Service, you acknowledge that you have read and agree to these policies, which are incorporated by reference into these Terms of Service.

2. The Service

Needle Gem provides a software-as-a-service platform that uses artificial intelligence to analyze live streaming chat messages and curate high-value comments (“Gems”) for streamers in real-time. The Service is delivered via a web-based dashboard and an overlay for use in broadcasting software.

3. User Accounts

To use certain features of the Service, you may be required to register for an account. You agree to keep your password confidential and will be responsible for all use of your account and password.

  • Streamer Accounts: Individuals or entities who use the Service to analyze the chat on their live streams.

4. Founder’s Beta Program

We are offering a limited, application-only “Founder’s Beta” program.

  • Eligibility: Acceptance into the Founder’s Beta program is at our sole discretion.
  • Free Trial: Approved applicants will receive a 30-day free trial of the Service.
  • Founder’s Rate: Upon completion of the free trial, participants will be converted to a paid subscription at the “Founder’s Rate” of €9.00 EUR per month. This rate is guaranteed for the lifetime of the account, provided the account remains in good standing.

5. Payments and Subscriptions

Billing: We use a third-party payment processor (Stripe) to bill you through a payment account linked to your account. All payments shall be in Euros.

Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle. You authorize us to charge your payment method for the renewal term unless you cancel your subscription through your account dashboard before the end of the current billing period.

Refunds: All payments are non-refundable. Please refer to our separate Refund Policy for any exceptions.

Price Changes: We reserve the right to change our subscription prices. We will provide you with reasonable prior notice of any price changes. Price changes will not affect the locked-in “Founder’s Rate” for eligible accounts.

Payment Failures: If a payment fails, we reserve the right to suspend your access to the Service until payment is successfully processed.

6. User Conduct

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Transmit any content that is unlawful, harmful, threatening, abusive, or otherwise objectionable.
  • Attempt to disrupt or interfere with the security or integrity of the Service.

7. Intellectual Property Rights

Unless otherwise indicated, the Service is our proprietary property. Our trademarks, logos, and all source code, databases, functionality, and software are owned or controlled by us. You are granted a limited license to access and use the Service for your personal, non-commercial use (or commercial use in the case of a streaming business).

8. Termination

We may suspend or terminate your account and access to the Service at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of the Service, us, or third parties.

9. Disclaimer of Warranties

The Service is provided on an “as-is” and “as-available” basis. You agree that your use of the Service will be at your sole risk. To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Service and your use thereof.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. The Service’s performance may be dependent on third-party services, and we are not liable for any delays, interruptions, or failures attributable to such third parties.

10. Limitation of Liability

In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages arising from your use of the Service. Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six (6) month period prior to any cause of action arising.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of any changes by posting the new Terms on this page and updating the “Last Updated” date.

12. Governing Law and Jurisdiction

These Terms and your use of the Service are governed by and construed in accordance with the laws of Italy, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to these Terms or the Service shall be instituted exclusively in the courts located in Rieti, Italy, and you hereby consent to the personal jurisdiction of such courts.

Consumer Rights (Italian Consumers): For consumers resident in Italy, these Terms are subject to the mandatory provisions of Italian Legislative Decree 206/2005 (Codice del Consumo - Consumer Code). Nothing in these Terms affects your statutory rights as a consumer under Italian law.

14. Online Dispute Resolution (ODR)

In accordance with Article 14 of EU Regulation No. 524/2013, we inform you that the European Commission provides a platform for online dispute resolution (ODR), which can be accessed at https://ec.europa.eu/consumers/odr.

Consumers can use this platform to settle their disputes arising from online purchases of goods and services. We are committed to participating in good faith in any dispute resolution process initiated through this platform.
